New York, NY - April 5, 2000 - TMP Worldwide Inc., (NASDAQ: TMPW; ASX: TMP) the leading provider of global recruitment solutions including the dominant Internet career portal, Monster.com, and the world's largest Yellow Pages advertising agency today announced it has completed the acquisition of System One Services, Inc. TMP issued 1,022,257 shares of common stock for all of the outstanding shares of System One. The acquisition will be accounted for as a pooling of interests and will be accretive to TMPW's financial results for 2000.

System One Services, Inc., in existence since 1987, specializes in the recruitment of Information Technology/Telecommunications and Engineering professionals. Known for its innovative and responsive staffing and consulting solutions to clients, System One offers contract services, professional search, consulting resources, managed-staffing partnerships and strategic operations. Clients include early stage companies to Fortune 1000 corporations.

With 1999 commissions and fees of $30 million, on a pro-forma basis the combined companies would have reported commissions and fees of approximately $850 million for the twelve months ended December 31, 1999, adjusted to include all other poolings of interest transactions closed in 2000. System One's 18 offices throughout the United States will be integrated into TMP Worldwide's mid-market recruitment division, Executive Resourcing. The combined operations for Executive Resourcing will have a presence in 22 major metropolitan areas in the US.
